Litigation
When it countsCourt is a last resort, but if the other side won't budge, then we start proceedings, from debt claims for arrears to injunctions and forfeiture. We litigate to win, and we tell you honestly when the lease is not worth the fight.

Submit Your CaseWhat Is a Commercial Lease Dispute?
A commercial lease dispute is a disagreement between a landlord and a business tenant during the term of the lease: over rent and arrears, rent reviews, repairs, consents, breaks or alleged breaches. Unlike an end of lease dispute, both parties are usually still bound to each other, sometimes for years, which shapes everything: the dispute has to be resolved in a way the ongoing relationship can survive, or in a way that ends the relationship on the best available terms.
The lease decides most of these disputes before any statute is reached, because rent, repairs, consents and breaks are creatures of its wording. That is good news for whichever party reads it properly first. We act for commercial landlords and business tenants in equal measure, we tell you where you stand in plain English, and we steer the dispute to the cheapest route that resolves it.
How Commercial Lease Disputes Arise
Most lease disputes we see come from the same places, on both sides.
Rent arrears
The rent stops or falls behind, and the landlord weighs recovery routes while the tenant weighs survival.
Alleged breach
The landlord serves notice of breach, of repair, use, alterations or otherwise, and the tenant disputes it or needs time to remedy it.
Rent reviews
The review clause produces two very different figures, and the lease’s machinery, negotiation, expert or arbitration, has to be worked properly.
Repairs
Landlord and tenant disagree about who must repair what during the term, and the disrepair affects the premises and the trade.
Consents
The tenant needs consent to assign, sublet or alter, and the landlord refuses, delays or attaches conditions the tenant says are unreasonable.
Break notices
A break is exercised and the other side disputes its validity, with the remainder of the term hanging on the answer.
Breakdown
Trust has gone mid term, disputes are multiplying, and one side wants a negotiated surrender or a managed exit.
Commercial Lease Dispute Law
Commercial lease disputes are decided first by the lease, construed on ordinary contract principles, within a statutory framework that intervenes at specific points. For arrears, a landlord's routes include a debt claim, drawing on a rent deposit, pursuing guarantors and former tenants where the law allows, commercial rent arrears recovery against goods at the premises, and forfeiture where the lease reserves it. Forfeiture for breaches other than rent requires a notice under section 146 of the Law of Property Act 1925, the right can be waived by treating the lease as continuing, and the court can grant the tenant relief. Where a lease requires the landlord's consent to assign or sublet, statute provides that consent must not be unreasonably withheld and must be dealt with within a reasonable time with written reasons. Rent reviews are governed by the review clause's own machinery, commonly independent expert or arbitrator, and break clauses are enforced strictly according to their conditions. Repairing obligations are allocated by the covenants, with disrepair claims and self help remedies each carrying procedural traps of their own.
How do I solve a commercial lease dispute?
We always start with a conference so that we understand the situation in full. We pair that with legal research bespoke to every case that we deal with, which means we can give you clear advice on your legal position. From there, we add in what you want out of a dispute and how far that can be achieved through legal remedies. Once we know that, we present the situation to the other side in a letter before claim that brings home the seriousness of the situation, and is usually key in bringing the other side to the table. We strongly favour mediation as a powerful tool in all of the disputes we handle for our clients, and we have a high success rate for settling cases at mediation. If your case doesn't settle, then all of the work done already means that we're in a position to start legal proceedings and allow the court to decide.
