Submit Your CaseWhat Is a Partnership Dispute?
A partnership dispute is any serious disagreement between people who run a business together. That includes traditional partnerships, LLPs and informal arrangements where two or more people built something and never wrote the rules down. The disagreement might be about money, workload, direction or trust. Whatever the cause, the business usually suffers long before the lawyers are called.
The good news is that most business partnership disputes settle without a courtroom. The earlier you understand your legal position, the stronger that position is. We tell you where you stand in plain English, what your options are and what each one costs.
How Business Partnership Disputes Arise
Most partnership disputes we see come from one of these places. Family businesses bring their own dynamics, covered on our family business disputes page.
Unequal effort
One partner grafts while another coasts, and the profit split no longer feels fair.
Money
Drawings, dividends, expenses and who pays for what.
Exit
A partner wants out and nobody agrees what their share is worth.
Removing a partner
You want to expel a partner but the agreement is silent on how, or there is no agreement at all.
Deadlock
Equal partners disagree on a major decision and the business cannot move forward.
No written agreement
The Partnership Act 1890 fills the gaps, and its default rules surprise almost everyone.
Trust
A partner has taken money, diverted clients or acted behind the backs of the others.
Partnership Agreement Law
Partnerships in England and Wales are governed by the Partnership Act 1890, and where the partners have a written agreement, by the terms of that agreement. The Act supplies default rules wherever the agreement is silent. Under section 24 partners share profits and losses equally and every partner may take part in management, whatever each contributed. Under section 25 no majority can expel a partner unless the agreement expressly grants that power. Under section 26 a partnership with no fixed term can be dissolved by any partner giving notice at any time. Partners also owe one another duties of the utmost good faith, including the duty to render true accounts and to account for any private profit made from the partnership business.
How Do I Solve a Partnership Dispute?
We always start with a conference so that we understand the situation in full. We pair that with legal research bespoke to every case that we deal with, which means we can give you clear advice on your legal position. From there, we add in what you want out of a dispute and how far that can be achieved through legal remedies. Once we know that, we present the situation to the other side in a letter before claim that brings home the seriousness of the situation, and is usually key in bringing the other side to the table. We strongly favour mediation as a powerful tool in all of the disputes we handle for our clients, and we have a high success rate for settling cases at mediation. If your case doesn't settle, then all of the work done already means that we're in a position to start legal proceedings and allow the court to decide.
