Submit Your CaseWhat Is a Founder Dispute?
A founder dispute is a fallout between the people who built a business together: co founders disagreeing over direction, contribution or equity, joint venture partners whose interests have diverged, or owners of a venture that grew faster than its paperwork. Legally these resolve into shareholder, director, partnership or contract disputes, but they share a defining feature: the deal between the people was made early, informally and in optimism, and the documents, if any exist, rarely match what everyone now believes was agreed.
That gap between the paperwork and the understanding is where these disputes are won and lost. The law can enforce informal understandings, imply terms and establish ownership from conduct and contribution, but evidence decides it: the emails, the messages, the money in and the work done. We establish what you actually own and are owed, we tell you in plain English, and we resolve the dispute at the lowest cost that achieves the outcome you need.
How These Disputes Arise
Most founder and ownership disputes we see come from the same places.
Co founder fallout
The founders disagree on direction, money or each other, and the company cannot carry both visions.
Unequal contribution
One founder builds while another drifts, and an equity split agreed on day one no longer reflects reality.
Founder exits
A founder leaves, is pushed, or gives up, and what happens to their shares was never agreed, or the vesting terms are disputed.
Joint venture failure
A venture partner misses its commitments, funding, work or customers, and the venture stalls while the obligations are argued over.
Deadlock
Equal venture partners or fifty fifty founders cannot agree, and the structure has no mechanism to break the tie.
Undocumented ownership
The business grew on a handshake, and who owns what exists in different versions in each person's memory.
Equity claims
Someone who worked in, funded or co built the venture claims a share the registered owner disputes.
Founder and Ownership Dispute Law
The governing law follows the structure the venture actually used. Where there is a company, the articles, any shareholders agreement and the Companies Act 2006 apply, and small companies built on personal trust between founders are classic quasi partnerships, in which exclusion or broken informal understandings found an unfair prejudice petition under section 994, with a buyout at fair value the usual remedy. Where two or more people carried on business together without a company, the Partnership Act 1890 applies with its defaults of equal shares and dissolution by notice. Joint ventures are governed by the joint venture agreement, construed as any contract, alongside the constitution of any joint venture vehicle. Where ownership itself is disputed, equity can recognise interests the register does not show, through resulting and constructive trusts arising from contributions and common intention, and share vesting and good leaver provisions are enforced as written. In every version, the contemporaneous record, messages, money and work, is the evidence that decides it.
How Do I Solve a Founder Dispute?
We always start with a conference so that we understand the situation in full. We pair that with legal research bespoke to every case that we deal with, which means we can give you clear advice on your legal position. From there, we add in what you want out of a dispute and how far that can be achieved through legal remedies. Once we know that, we present the situation to the other side in a letter before claim that brings home the seriousness of the situation, and is usually key in bringing the other side to the table. We strongly favour mediation as a powerful tool in all of the disputes we handle for our clients, and we have a high success rate for settling cases at mediation. If your case doesn't settle, then all of the work done already means that we're in a position to start legal proceedings and allow the court to decide.
