What Is a Shareholders Agreement?

A shareholders agreement is a private contract between the shareholders of a company, and usually the company itself, governing how the company is owned and run: how decisions are made, how profits are shared, how shares are transferred, and what happens when someone wants out or the shareholders fall out. It sits alongside the articles of association, but unlike the articles it is confidential, flexible and enforceable between the shareholders personally.

The purpose of a shareholders agreement is to answer the hard questions before they become disputes. Without one, the default rules of company law apply, and they leave minority shareholders with little control, majorities with unexpected constraints, and everyone without an agreed exit route or price. Nearly every shareholder dispute we litigate would have been cheaper, quicker or avoided entirely with the right agreement in place.

What a Shareholders Agreement Covers

These are the provisions that decide whether an agreement earns its keep.

Decision making

Which decisions need unanimity or a special majority, so fundamental changes cannot be forced through over a shareholder’s objection.

Dividends and profit

The policy for distributing profit, so dividends cannot simply be turned off while salaries flow to those in control.

Share transfers

Pre emption rights giving existing shareholders first refusal, and controls on who shares can be transferred to.

Exits and events

Good leaver and bad leaver terms, compulsory transfers on death or departure, and drag along and tag along rights when the company is sold.

Valuation

How shares are priced on any transfer, and whether a minority discount applies, agreed now rather than fought over later.

Minority protection

Consent rights, information rights and anti dilution protections that company law alone does not provide.

Deadlock

What happens when equal shareholders cannot agree, from escalation and mediation to buyout mechanisms that break the tie.

Shareholders Agreement Law

A shareholders agreement is a contract, enforceable between its parties on ordinary contract principles, and it operates alongside the company's constitution under the Companies Act 2006. The articles of association bind the company and its members as a matter of statute, so the two documents must be drafted to work together: provisions on share transfers, pre emption and consent rights typically appear in both, and a well drawn agreement states which prevails if they conflict. Breach of a shareholders agreement gives rise to claims for damages and, where damages are inadequate, injunctions and specific performance, and the agreements and understandings between shareholders are central to what fairness requires in any unfair prejudice petition. The standard limitation period for breach is six years under the Limitation Act 1980, or twelve where the agreement is executed as a deed.

How Do We Put the Right Agreement in Place?

We always start with a conference so that we understand the company, the shareholders and the deal between you in full. We pair that with legal research bespoke to every matter, which means the agreement we draft or the report we give you reflects your actual position, not a template's assumptions. From there, we add in what each shareholder needs protected, from dividends and decision making to exits and valuation, and we negotiate the terms that matter before anything is signed. We align the agreement with the articles of association so the documents work together, and everything is done at a fixed fee agreed in advance. If a dispute ever does arise, the agreement we helped you put in place is the strongest position you can start from.
