A commercial contract review is a clause by clause examination of a business contract before you sign it, reporting on what the words commit you to, where the risk sits and what should be negotiated. Business contracts are drafted by one side in that side's interests, and the clauses that matter most, on liability, indemnities, termination and payment, are precisely the ones written to pass unnoticed.
Almost every contract dispute we litigate was decided years earlier, on the day the contract was signed. A review before signature costs a fixed fee and a few days; the same clauses examined for the first time in a dispute cost a great deal more. We review, draft and negotiate contracts for businesses of every size, and we report in plain English rather than in caveats.
What We Check in a Commercial Contract
These are the clauses that decide whether a contract is safe to sign.
Payment terms
What is payable, when, on what conditions, and what interest and remedies apply when payment is late.
Liability and indemnities
What you are on the hook for if things go wrong, whether liability is capped, and what the indemnities really transfer to you.
Exclusions and limitations
What the other side has excluded, whether the clause would survive the reasonableness test, and what you are left able to claim.
Termination and exit
How the contract ends, on notice or for breach, what happens on termination, and whether you can get out if the deal sours.
Obligations and service levels
What each side must actually do, measured how, and what counts as failure.
Boilerplate that bites
Assignment, variation, entire agreement, governing law and dispute resolution clauses, which look standard and decide real outcomes.
Your standard terms
Whether your own terms are incorporated properly, because the best terms in the world do nothing if the other side's paperwork wins the battle of the forms.
Commercial Contract Law
Business contracts in England and Wales are enforced according to their words, construed objectively in their commercial context, with statute intervening at the edges. Exclusion and limitation clauses in standard terms must satisfy the reasonableness test in the Unfair Contract Terms Act 1977, and clauses are construed against the party relying on them where the words are unclear. Terms can be incorporated by signature, by reasonable notice or by a course of dealing, and where both sides trade on their own standard terms the battle of the forms is generally won by the last set of terms sent before performance. Liquidated damages clauses are enforceable where they protect a legitimate interest, penalties are not, and entire agreement clauses confine the deal to the document. A contract properly drafted against this framework is the evidence that wins the dispute, or prevents it happening at all.
How Do We Review a Commercial Contract?
We always start with a conference so that we understand the deal in full: what you are buying or selling, what matters commercially and what you cannot afford to get wrong. We pair that with a clause by clause review or draft, backed by legal research bespoke to every matter, which means we can report to you in plain English on exactly what you are agreeing to and where the risk sits. From there, we negotiate the terms that matter, from liability caps to payment and exit rights, before anything is signed. Everything is done at a fixed fee agreed in advance, and if a dispute ever does arise, the contract we helped you agree is the strongest position you can start from.
