Submit Your CaseWhat Is a Director Dispute?
A director dispute is a serious disagreement between the directors of a company about its management, direction or conduct. In owner managed companies the directors are usually also the shareholders, so a boardroom falling out and a shareholder dispute often arrive together. The disagreement might be about strategy, money, a director's conduct or who should be running the company at all. Whatever the cause, the company usually suffers long before the lawyers are called.
The good news is that most director disputes settle without a courtroom, typically with a negotiated exit or a change at board level. The earlier you understand your legal position, the stronger that position is. We give legal advice for company directors on both sides of these disputes, in plain English, with the options and the cost of each.
How Director Disputes Arise
Most director disputes we see come from the same places.
Deadlock
An equally split board cannot agree on a major decision and the company stalls.
Breach of duties
A director puts their own interests first, fails to exercise care or acts outside their powers.
Claims against directors
The company, a liquidator or shareholders pursue a director personally for losses.
Removal threatened
Shareholders move to remove a director, or a director is pushed towards resignation.
Removing a director
The board or shareholders want a director gone and need it done lawfully.
Competition
A director diverts business, staff or opportunities to another venture.
Squeezed out
A director and shareholder is stripped of their role, income and influence at the same time.
Directors Duties Law
Directors duties are codified in the Companies Act 2006. Sections 171 to 177 require a director to act within their powers, to promote the success of the company for the benefit of its members as a whole, to exercise independent judgment, to exercise reasonable care, skill and diligence, to avoid conflicts of interest, not to accept benefits from third parties, and to declare any interest in a proposed transaction. These duties are owed to the company, so claims for breach are usually brought by the company itself, by a liquidator after insolvency, or by shareholders through a derivative claim with the court's permission. Removal of a director is governed by section 168, which allows shareholders to remove a director by ordinary resolution following special notice, subject to the articles, any service agreement and, in some companies, weighted voting rights that can defeat the resolution.
How Do I Solve a Director Dispute?
We always start with a conference so that we understand the situation in full. We pair that with legal research bespoke to every case that we deal with, which means we can give you clear advice on your legal position. From there, we add in what you want out of a dispute and how far that can be achieved through legal remedies. Once we know that, we present the situation to the other side in a letter before claim that brings home the seriousness of the situation, and is usually key in bringing the other side to the table. We strongly favour mediation as a powerful tool in all of the disputes we handle for our clients, and we have a high success rate for settling cases at mediation. If your case doesn't settle, then all of the work done already means that we're in a position to start legal proceedings and allow the court to decide.
