Shareholder Dispute Resolution: Your Options
Negotiation
Lowest costMost disputes never go to court. We set out your position in a letter that shows the other side the cost of ignoring you, and we negotiate the buyout, the exit or the change in conduct you want.
Shareholder Mediation
Most disputes end hereA neutral mediator helps shareholders agree a deal in a day. Private, quick and far cheaper than a trial about how the company has been run, and it keeps the company trading while you resolve it.
Shareholder Litigation
When it countsCourt is a last resort, but if the other side won't budge, then we start proceedings, most commonly an unfair prejudice petition seeking a buyout at fair value. We litigate to win and we tell you honestly when litigation is not worth it.
Get Legal Clarity Today
Outline your dispute and we will respond with a clear fixed fee quote the same day. Our prices are around 30% cheaper than a standard law firm because you work directly with a barrister. No hourly billing surprises.
Every quote is fixed before work begins. If the scope changes, we agree a new price with you first.
Submit Your CaseWhat Is a Shareholder Dispute?
A shareholder dispute is a serious disagreement between the owners of a company about how it is run, how its value is shared or how someone exits. In small and family companies the shareholders are often also the directors, so a falling out reaches the boardroom and the share register at the same time. The disagreement might be about dividends, pay, control, information or the price of a departure. Whatever the cause, the company usually suffers long before the lawyers are called.
The good news is that most shareholder disputes settle without a courtroom, typically with one side buying the other out. The earlier you understand your legal position, the stronger that position is. We tell you where you stand in plain English, what your options are and what each one costs.
How Shareholder Disputes Arise
Most shareholder disputes we see come from the same places.
Exclusion
A shareholder who helped build the company is shut out of decisions or removed as a director.
Dividends
Distributions stop while those in control pay themselves through salaries and benefits.
Breach of agreement
The shareholders agreement is ignored on consent rights, transfers or dividend policy.
Valuation
The parties are far apart on what the shares are worth and whether a minority discount applies.
Exit
A shareholder wants to sell but the articles restrict transfers and nobody will buy at a fair price.
Control
Majority voting power is used to serve the majority rather than the company.
Deadlock
Equal shareholders disagree on a major decision and the company cannot move forward.
Shareholder Dispute Law
Shareholder disputes are decided by the company's articles of association, any shareholders agreement, and the Companies Act 2006. The most important statutory remedy is the unfair prejudice petition under section 994, which allows a member to complain that the company's affairs are being conducted in a manner unfairly prejudicial to their interests and most commonly results in a buyout order at fair value. Directors involved in the dispute remain bound by their statutory duties, including the duty to promote the success of the company for the benefit of its members as a whole. Where wrongdoing is against the company itself, a derivative claim may be brought in the company's name, and in extreme cases a contributory may petition to wind the company up on just and equitable grounds.
How Do I Solve a Shareholder Dispute?
We always start with a conference so that we understand the situation in full. We pair that with legal research bespoke to every case that we deal with, which means we can give you clear advice on your legal position. From there, we add in what you want out of a dispute and how far that can be achieved through legal remedies. Once we know that, we present the situation to the other side in a letter before claim that brings home the seriousness of the situation, and is usually key in bringing the other side to the table. We strongly favour mediation as a powerful tool in all of the disputes we handle for our clients, and we have a high success rate for settling cases at mediation. If your case doesn't settle, then all of the work done already means that we're in a position to start legal proceedings and allow the court to decide.
