Unfair Prejudice Claims: Your Options

01

Negotiation

Lowest cost

Most disputes never go to court. We set out your case in a letter that shows the majority the cost of ignoring you, and we negotiate the exit or the change in conduct you want.

02

Mediation

Most claims end here

A neutral mediator helps both sides agree a buyout or a settlement in a day. Private, quick and far cheaper than a trial about how the company has been run.

03

Section 994 Petition

When it counts

Court is a last resort, but if the other side won't budge, then we start proceedings. We litigate to win, and we tell you honestly when a petition is not worth it.

Get Legal Clarity Today

Outline your dispute and we will respond with a clear fixed fee quote the same day. Our prices are around 30% cheaper than a standard law firm because you work directly with a barrister. No hourly billing surprises.

Every quote is fixed before work begins. If the scope changes, we agree a new price with you first.

What Is an Unfair Prejudice Petition?

An unfair prejudice petition is a claim by a shareholder that the affairs of the company are being conducted in a manner that is unfairly prejudicial to their interests. The right comes from section 994 of the Companies Act 2006 and it is the principal remedy for minority shareholders in shareholder disputes. The most common outcome is an order that the majority buy the petitioner's shares at a fair value, which is usually exactly what the excluded shareholder wants: a clean exit at a proper price.

The conduct complained of must be both prejudicial and unfair. Exclusion from management in a company built on mutual trust, diversion of business or money, excessive pay for the majority while dividends stop, and dilution of a minority holding are the classic grounds. We advise on whether your situation meets the test and on the fastest route to the outcome you want.

How Unfair Prejudice Arises

Most petitions we see come from the same patterns of conduct.

Exclusion

A shareholder who helped build the company is shut out of decisions or removed as a director.

Dividends

Distributions stop while the majority pay themselves through salaries and benefits.

Self Dealing

Company money, contracts or opportunities are diverted to the majority or their other businesses.

Dilution

New shares are issued to weaken the minority position rather than to raise capital.

Misuse of Funds

Company assets are used as if they belonged to the majority personally.

Being Ignored

Information dries up, meetings stop and the minority is treated as an inconvenience.

Exit Refused

The majority will not buy the minority out, or will only do so at an unfair price.

Unfair Prejudice Law

Unfair prejudice claims are governed by sections 994 to 996 of the Companies Act 2006. Section 994 gives any member the right to petition where the company's affairs are being or have been conducted in a manner unfairly prejudicial to members generally or to some part of the members. Section 996 gives the court the widest possible powers once unfair prejudice is established, including regulating the future conduct of the company, restraining particular acts, and most commonly ordering the purchase of the petitioner's shares. The leading authorities establish that fairness is judged against the agreements and understandings between the shareholders, including informal understandings in quasi partnership companies built on mutual trust and confidence.

How Do I Solve an Unfair Prejudice Claim?

We always start with a conference so that we understand the situation in full. We pair that with legal research bespoke to every case that we deal with, which means we can give you clear advice on your legal position. From there, we add in what you want out of a dispute and how far that can be achieved through legal remedies. Once we know that, we present the situation to the other side in a letter before claim that brings home the seriousness of the situation, and is usually key in bringing the other side to the table. We strongly favour mediation as a powerful tool in all of the disputes we handle for our clients, and we have a high success rate for settling cases at mediation. If your case doesn't settle, then all of the work done already means that we're in a position to start legal proceedings and allow the court to decide.
