Breach of Contract Claims We Handle

Breach of Contract Claims: Your Options

01

Letter before claim and negotiation

Lowest cost

Most disputes never go to court. We set out the breach, the evidence and the sums claimed in a letter before claim that shows the other side the cost of defending, and most claims settle from that position of strength.

02

Mediation

Most claims end here

A neutral mediator helps both sides reach a deal in a day. Private, quick and far cheaper than trial, and courts penalise parties who unreasonably refuse it, even winning ones.

03

Proceedings

When it counts

Court is a last resort, but if the other side won't budge, then we start proceedings for damages, specific performance or the declaration you need. We litigate to win, and we tell you honestly when a claim is not worth bringing.

Outline your dispute and we will respond with a clear fixed fee quote the same day. Our prices are around 30% cheaper than a standard law firm because you work directly with a barrister. No hourly billing surprises.

Every quote is fixed before work begins. If the scope changes, we agree a new price with you first.

What Is a Breach of Contract Claim?

A breach of contract claim is a legal claim for a remedy where the other party to a binding agreement has failed to perform an obligation without lawful justification: not paying, not delivering, delivering something defective, or abandoning the deal altogether. The claim's purpose is to put your business in the position it would have been in had the contract been performed, usually through damages, and sometimes through orders compelling performance or confirming a lawful termination.

Success turns on three things you largely already hold: the contract terms, the record of what was done and not done, and the evidence of what the breach has cost you. We act for claimants bringing breach of contract claims and for businesses defending them, and we tell you where you stand in plain English before serious money is spent.

The Elements of a Breach of Contract Claim

Every breach of contract claim has to establish the same four things.

A binding contract

An agreement supported by offer, acceptance, consideration and intention, whether signed, exchanged by email or built from conduct, and the terms it actually contains.

A breach

Conduct falling short of what the terms require, from late or non payment to defective performance, judged against the contract’s words rather than either side’s expectations.

Causation and loss

The losses flowing from the breach, applying the rules on remoteness, so the claim covers what the breach genuinely cost and not everything that went wrong afterwards.

Mitigation

Reasonable steps taken to limit the loss, because damages are reduced where a claimant lets losses grow that reasonable action would have avoided.

Repudiation

Where the breach is serious enough, or the other side has renounced the deal, the innocent party can accept the repudiation, terminate and claim damages, but terminating wrongly is itself a repudiation, which is why the decision needs advice before it is made.

Defences

On the receiving end, the same elements are tested in reverse, alongside set off, contributory conduct, exclusion and limitation clauses and the true construction of the terms.

Breach of Contract Law

Breach of contract claims in England and Wales are decided by the terms of the agreement and the common law of contract. Not every term carries the same weight: breach of a condition entitles the innocent party to terminate and claim damages, breach of a warranty sounds in damages alone, and intermediate terms depend on the seriousness of the consequences. Damages aim to put the claimant in the position performance would have achieved, limited by remoteness and the duty to mitigate, and liquidated damages clauses are enforceable where they protect a legitimate interest, while penalties are not. Exclusion and limitation clauses are construed against the party relying on them and, in standard terms, must satisfy the reasonableness test in the Unfair Contract Terms Act 1977. The standard limitation period is six years from the breach, or twelve for contracts made by deed, under the Limitation Act 1980.

How Do I Bring a Breach of Contract Claim?

We always start with a conference so that we understand the situation in full. We pair that with legal research bespoke to every case that we deal with, which means we can give you clear advice on your legal position. From there, we add in what you want out of a dispute and how far that can be achieved through legal remedies. Once we know that, we present the situation to the other side in a letter before claim that brings home the seriousness of the situation, and is usually key in bringing the other side to the table. We strongly favour mediation as a powerful tool in all of the disputes we handle for our clients, and we have a high success rate for settling cases at mediation. If your case doesn't settle, then all of the work done already means that we're in a position to start legal proceedings and allow the court to decide.
