Submit Your CaseWhat Is a Family Business Dispute?
A family business dispute is a fallout between relatives who own or run a business together: siblings who inherited it, parents and children working in it, spouses and wider family holding shares in it. Legally these are shareholder, director or partnership disputes, and the same law applies. Practically they are different in kind, because the business and the family are entangled: roles were never written down, pay and shareholdings reflect history rather than contribution, and the dispute sits across the dinner table as well as the boardroom.
That entanglement is also why family disputes respond so well to early, careful handling. The law gives excluded and mistreated family shareholders real remedies, and the courts treat family companies as the classic case of a business built on personal trust. We establish your position discreetly, we resolve quietly wherever the family relationship can be preserved, and we act decisively when it cannot.
How Family Business Disputes Arise
Most family business disputes we see come from the same places.
Succession
The generations disagree about who takes over, when, and on what terms, and the plan exists only in assumption.
Exclusion
A family member who works in or owns part of the business is shut out of decisions, information or the premises.
Unequal reward
Some relatives draw salaries and benefits while others hold shares that pay nothing, and the imbalance hardens into grievance.
Life events
A divorce, a death or a remarriage moves shares to new hands, and the balance the business relied on is gone.
Control
A founder holds on past the point the next generation can accept, or exercises control in ways the others consider unfair.
Sale
Part of the family wants to realise value and part wants to keep the legacy, and neither can move without the other.
Pushed out
A family member is removed as director or employee, and their shareholding is suddenly all they have left.
Family Business Dispute Law
Family business disputes are decided by the same framework as any ownership dispute: the articles of association, any shareholders or partnership agreement, and the Companies Act 2006 or the Partnership Act 1890, depending on the structure. What is distinctive is how the courts approach family companies. A company formed or continued on the basis of a personal relationship involving mutual trust and confidence is the classic quasi partnership, and in such companies the court holds the majority to the informal understandings on which the venture was built, not merely the written constitution. Exclusion from management in a family quasi partnership is the most common foundation for a successful unfair prejudice petition under section 994, with a buyout at fair value, usually without a minority discount, the standard remedy. Where relatives trade together without a company, the Partnership Act's default rules of equal shares and dissolution by notice apply to everything the family never wrote down.
How Do I Solve a Family Business Dispute?
We always start with a conference so that we understand the situation in full. We pair that with legal research bespoke to every case that we deal with, which means we can give you clear advice on your legal position. From there, we add in what you want out of a dispute and how far that can be achieved through legal remedies. Once we know that, we present the situation to the other side in a letter before claim that brings home the seriousness of the situation, and is usually key in bringing the other side to the table. We strongly favour mediation as a powerful tool in all of the disputes we handle for our clients, and we have a high success rate for settling cases at mediation. If your case doesn't settle, then all of the work done already means that we're in a position to start legal proceedings and allow the court to decide.
