What Is a Joint Venture Dispute?

A joint venture dispute arises when two or more parties who combined resources to pursue a shared commercial objective fall into disagreement over how the venture should be run, what each party is entitled to, or how it should end. These disputes commonly involve breaches of the JV agreement, disagreements over profit distribution and capital contributions, deadlock between the venture partners, contested exit or termination provisions, and arguments over intellectual property and assets developed during the venture. The legal framework depends on the structure: a corporate JV vehicle engages company law and the vehicle’s articles, a contractual JV is governed by the agreement and the general law of contract, and an unincorporated arrangement may attract partnership law by default.

Where a joint venture breaks down, early legal advice is critical because the agreement often contains deadlock resolution, put and call options, or termination machinery that runs on tight timetables. We review the JV agreement and any side letters, establish what each party actually committed and what it is owed, and design the resolution around the commercial outcome you need. If you are also dealing with a falling out between individual business owners, see our dedicated page on founder disputes.

How Joint Venture Disputes Arise

The joint venture disputes we handle most often fall into the same categories.

Agreement breach

One party fails to perform its obligations under the JV agreement, whether that is providing funding, delivering services, meeting milestones or observing restrictive covenants.

Profit share and distributions

The parties disagree on how profits should be calculated or distributed, or one party is withholding distributions that the other believes are due.

Unequal contribution

A venture partner is not meeting its agreed contribution, whether in capital, expertise, staff or customers, and the other party is carrying the cost.

Deadlock

Equal JV partners or board representatives cannot agree on a material decision, and the agreement’s deadlock provisions are either inadequate or absent.

Exit and buy sell disputes

A party wants to leave the venture and the terms of its exit, including price, timing and restraints, are contested or were never properly documented.

Termination and winding down

The venture has reached the end of its useful life or one party has triggered a termination event, and the allocation of assets, liabilities and ongoing obligations is disputed.

IP and asset ownership

Intellectual property, customer relationships or other assets created during the venture are claimed by both parties, and the agreement is silent or ambiguous on ownership.

Joint Venture Dispute Law

The legal framework governing a joint venture dispute depends on the structure the parties chose. A corporate joint venture, where the parties hold shares in a JV company, is governed by the company’s articles, any shareholders agreement and the Companies Act 2006, and deadlock or exclusion can found an unfair prejudice petition under section 994 where the venture was conducted as a quasi partnership. A contractual joint venture without a separate vehicle is governed by the JV agreement, construed under the ordinary law of contract, and remedies for breach include damages, specific performance and injunctive relief. Where the parties carried on business together without a written agreement, the Partnership Act 1890 may apply by default, with equal shares and dissolution by notice. In every case, the JV agreement, board minutes, correspondence and financial records form the evidence base, and the resolution strategy must reflect not only the legal position but the commercial value of the venture and the ongoing relationship between the parties.

How Do I Resolve a Joint Venture Dispute?

We always start with a conference so that we understand the situation in full. We pair that with legal research bespoke to every case that we deal with, which means we can give you clear advice on your legal position. From there, we add in what you want out of a dispute and how far that can be achieved through legal remedies. Once we know that, we present the situation to the other side in a letter before claim that brings home the seriousness of the situation, and is usually key in bringing the other side to the table. We strongly favour mediation as a powerful tool in all of the disputes we handle for our clients, and we have a high success rate for settling cases at mediation. If your case doesn't settle, then all of the work done already means that we're in a position to start legal proceedings and allow the court to decide.
